Partner Merchant Code of Conduct
The Code of Conduct (“Code”) is a set of guidelines and standards that holds our independent merchant-partners (“Merchants”, “You”) accountable as part of our Bees community. Abiding by the Code ensures that we protect our users and systems and that together we deliver the best experience to our consumers.

Merchant Conduct Code
Selling of Goods
BIR Official Receipt: The Merchant shall issue a BIR Official Receipt to the End User, as required by applicable laws.
Restricted Items: The Merchant shall ensure that "Restricted Items" are not sold for consumption or delivery. Restricted Items include animals of any size, illegal items (e.g., shark fin), fragile items, dangerous items (e.g., weapons, explosives, flammables), stolen goods, and any substance containing nicotine or tobacco. Selling Restricted Items will lead to permanent banning from the Bees platform.
Regulated Items: The Merchant shall have proper permits to sell "Regulated Items" such as prescription medicine, alcohol, and other age-restricted items.
Penalties for Selling Restricted or Regulated Items: The following penalties may be imposed if the Merchant is caught selling Restricted or Regulated Items without proper requirements and permits:
First Offense: Bees shall remove the banned item from the platform.
Second Offense: Bees shall remove the banned item from the platform, suspend the Merchant's access to the Bees platform for five (5) days, and permanently remove menu editing access.
Third Offense: The Merchant will be permanently suspended from the Bees platform.
Contracts
Contractual Terms: The Merchant must abide by all contractual terms between Bees and the Merchant, such as the Device and Mobile Data Agreement, Marketing Agreements, and other agreements.
Payments and Invoices: These agreements may cover terms related to one-time payment of any revenues, fees, or charges invoiced or claimed by Bees in a timely manner, following agreed-upon credit terms and issuing necessary documents/certificates (e.g., Withholding Tax Certificate 2307, Proof of Being a Withholding Tax Agent).
Non-Payment Penalties: Failure to comply with payment terms may result in Bees immediately clawing back any due amount and charging a 1% penalty per month for unpaid/unsettled amounts.
Collection Agency: Bees reserves the right to share the Merchant's contact information with an external collection agency if their account is transferred due to non-payment.
Permits and Registrations
Required Permits: The Merchant is responsible for applying for and renewing any applicable permits or registrations to operate their business on Bees, including LGU Business Permit, SEC Certificate of Incorporation, DTI Business Registration, BIR Registrations, Sanitary Permits, etc.
Suspension for Non-Submission: The Merchant may be suspended for failing to submit updated permits to Bees. The suspension duration will be determined by Bees based on the severity of the failure.
Senior Citizen and PWD Discount
Mandatory Discounts: The Merchant must recognize and implement statutory discounts, including Senior, PWD, and student discounts (if applicable).
Operational Changes: The Merchant must make necessary POS and operational changes to comply with government regulations for these discounts on the Bees platform.
Collaboration with Bees: The Merchant must work with Bees to align on a reasonable implementation for these discounts for qualified end users.
Penalties
Unless specified otherwise, the following penalties may be imposed by Bees depending on the frequency and severity of the violation:
Fine: Up to 10% of the Sales value.
Suspension: Suspension up to thirty (30) days.
Permanent Ban: Permanent ban from the Bees Platform.
